These Terms of Service govern your use of GateLLM AI Router, operated by GateLLM AI Router (a company registered in the State of Wyoming, United States — "GateLLM", "we", "us"). By creating an account, or by sending a request to our API, you agree to them. If you are agreeing on behalf of a company, you confirm you are authorised to bind it, and "you" means that company.
1. Eligibility
You must be at least 18 years old and legally able to enter into a contract. You may not use the service if you are located in, ordinarily resident in, or acting on behalf of a person or entity in a jurisdiction subject to comprehensive United States sanctions, or if you appear on a United States restricted-party list.
2. Your account and your API keys
Keep your credentials confidential. An API key is a bearer credential: anything done with your key is treated as done by you, and you are responsible for the usage and charges it incurs. Rotate or revoke keys in the console at any time; tell us promptly at support@tokrouter.dev if you believe a key has leaked. One account per person or entity unless we agree otherwise in writing; creating additional accounts to obtain promotional credits is a breach of these Terms.
3. What the service is
GateLLM AI Router is a routing gateway. You send a request in one of the supported API protocols, we forward it to the third-party model provider you selected, and we return the response and meter the tokens. We are not the model provider. We do not control, and do not warrant, the content, accuracy, availability, latency or safety of any model output. Models and providers on our catalogue may be added, changed, deprecated or withdrawn, sometimes at a provider's initiative and without advance notice to us.
Model outputs can be wrong, biased or unsuitable. Do not rely on them as professional, legal, medical or financial advice, and apply your own review before acting on them.
4. Credits, top-ups and how they are consumed
The service is prepaid. A top-up converts money into a credit balance denominated in United States dollars, usable only to pay for calls through the service. Credits are not a deposit, not e-money, not transferable, not redeemable for anything other than the service, and earn no interest. We do not extend credit: when your balance is exhausted, further calls are declined, and API keys on a zero balance are suspended until you top up — at which point they resume automatically.
Where an account holds both granted credits and paid balance, granted credits are consumed first. Your paid balance is therefore preserved for as long as possible, which is also what keeps it refundable.
5. Pricing and metering
Prices per model are published on the Pricing page and in the console, and are metered from the gateway's own call log: input tokens, output tokens and cache-read tokens at the rates in effect when the call was served. Usage and cost appear in your console usage log, typically within about 30 seconds of the call. Prices can change; a change applies to calls served after it takes effect, and we will publish material increases at least 15 days in advance. Amounts are exclusive of any taxes we are required to collect.
If our metering and your own records disagree, tell us — we will reconcile against the gateway log and correct errors in your favour where we find them.
6. Promotions and granted credits
Promotions, if running, are published on the Promotions page with their rules, thresholds and validity. Granted credits are issued as a separate, time-limited allowance (currently 90 days), never enter your paid balance, and are therefore never refundable, transferable or withdrawable. They expire when their term ends. If you take a refund, unused granted credits are voided and you may lose eligibility for the current promotion — this is what keeps "top up, earn a grant, refund the top-up" from being an arbitrage loop.
7. Refunds
Unconsumed paid balance is refundable 1:1 to the original payment method, and we absorb the payment-processor fee. Consumed balance is not refundable: that service was delivered, including the upstream model cost we already paid. The full rules — scope, calculation, and the gates below — are on the Refund Policy page, which forms part of these Terms:
- minimum refund of 5 US dollars;
- no refund within 24 hours of the top-up being refunded;
- at most one refund per 90 days;
- at most two refunds over the lifetime of an account;
- no deadline otherwise: balance stays refundable however long you hold it.
We may decline a refund, or ask for more information, in cases of suspected fraud, a chargeback history, a payment method reported stolen, coordinated promotion abuse across linked accounts, breach of these Terms, or where the law or a regulator requires us to. If we decline, we will say why, and you can ask for review by replying to that email.
Filing a chargeback instead of asking us for a refund lets us suspend the account while the dispute runs.
8. Acceptable use
You may not use the service to:
- break the law, infringe intellectual property, or violate anyone's privacy;
- generate or distribute child sexual abuse material, or content sexualising minors;
- produce malware, exploit kits, spam, phishing, or content designed to defraud;
- target or harass individuals, or infer sensitive attributes about them without a lawful basis;
- circumvent our rate limits, billing, balance checks or any other technical control; probe or attack our infrastructure; or share, resell or sublicense access to the service or your keys to third parties except as we have agreed in writing;
- create accounts by automated means, or evade a suspension;
- breach the usage policies of the upstream model provider serving your call (see Section 9).
We may investigate suspected breaches and may suspend the affected account or key immediately where the risk warrants it.
9. Third-party providers
When you route a call to a model provider, that provider's usage policies and restrictions apply to your request, and you are responsible for complying with them. Provider outages, rate limits, content filters, policy changes, price changes or termination of a model are outside our control; we will pass through what we can and reflect it in the catalogue. Where you use your own provider key (BYOK), your relationship with that provider is directly between you and them, and we add no markup for routing.
10. Rate limits and fair use
We apply throughput limits per account group as a protection for the platform and for your own balance. We may throttle, queue or decline requests that threaten stability, and we may adjust limits with notice in the console. We do not offer an uptime service level unless we have signed one with you separately.
11. Your content, our software
You keep all rights in what you send to the service and in what the models return to you, to the extent those outputs are capable of ownership. You grant us only the licence needed to transmit, route and return that content in order to serve your calls. You are responsible for having the rights to what you submit.
We keep all rights in our own platform, brand and documentation. Our console is built on new-api, which is distributed under the AGPL-3.0; the corresponding attribution is retained in the product. Nothing here grants you a licence to our trademarks.
12. Suspension and termination
You may stop using the service and close your account at any time; unconsumed paid balance remains refundable under Section 7. We may suspend or terminate access for breach of these Terms, suspected fraud or abuse, non-payment, chargebacks, or where the law requires it. Where practical we give notice and an opportunity to cure. On termination, granted credits are voided; unconsumed paid balance is refunded under Section 7 unless it is the subject of fraud or an unresolved payment dispute.
13. Disclaimers
The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free or secure, or that model outputs will be accurate or suitable for your purpose.
14. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, goodwill or data, however caused. Our total aggregate liability arising out of or relating to the service is limited to the greater of (a) the amounts you paid us for the service in the three months before the event giving rise to the claim, or (b) 100 US dollars. These limits do not apply to liability that cannot be limited by law, or to your obligations under Sections 7 and 15.
15. Indemnification
You will defend and indemnify us against third-party claims, damages and reasonable legal costs arising out of your use of the service in breach of these Terms or of applicable law, or out of content you submit or rely on.
16. Changes
We may change the service, our prices and these Terms. We will post the updated version with a new effective date, and for changes that materially reduce your rights or increase your costs we will notify account holders by email at least 15 days in advance. Continued use after a change takes effect is acceptance of it; if you do not accept, stop using the service and request a refund of your unconsumed balance under Section 7.
17. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, United States, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The state and federal courts located in Wyoming have exclusive jurisdiction, and both parties consent to venue there. Nothing in this section deprives a consumer of the protection of mandatory law in their country of residence. Either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
18. General
Notices to you go to the email address on your account; notices to us go to support@tokrouter.dev. You may not assign these Terms without our consent; we may assign them to an affiliate or an acquirer of the business. If a provision is unenforceable, the rest stands. Neither party is liable for delay caused by events beyond its reasonable control. These Terms, together with the Refund Policy, the Privacy Policy and any Data Processing Addendum we have signed with you, are the entire agreement between us on this subject. Sections 7, 11, 13, 14, 15, 17 and 18 survive termination.
